Business Registration and Licensing Agency (BRELA) alert |Notice to strike off defunct companies from the Register of Companies
The Registrar of Companies has through a notice published on 27 May 2022 decided to invoke the powers granted to him under section 400 of the Companies Act, Cap 212 (“the Act”) to strike off defunct companies from the Register of Companies.
Defunct companies have been given a thirty (30) days’ notice by the Registrar of Companies effective 27 May 2022 to prove that they are still in operation. Failure to comply with the notice will result in the name of the company being struck off the Register of Companies as per section 400(3) of the Act.
Companies that have failed to file Annual Returns in accordance with section 128 of the Act shall be deemed to be defunct companies. The Registrar of Companies will implement this exercise as part of the process of updating company information and records into the Online Registration System (ORS).
