Business Compliance Update in Kenya & Uganda

The Business Registration Service (BRS) has issued a second compliance notice dated 11th April 2025, targeting private companies that have not complied with Section 93A and Section 894 of the Companies Act, No. 17 of 2015.

The Registrar of Companies has identified a list of companies suspected of being inactive or non-operational due to:

  • Failure to file annual returns and financial statements for a continuous period of five years.
  • Failure to submit the register of beneficial owners.

Companies identified in the notice are required to take the following corrective actions to avoid potential deregistration from the Companies Register.

  1. Confirm in writing within thirty (30) days from the date of this letter whether the company is currently active and operating.
  2. Provide supporting evidence, which may include recent financial statements or tax filings and copies of active trade licenses, contracts, or invoices.
  3. Submit all outstanding statutory documents, including annual returns and the beneficial ownership register.

Our team is available to support you in reviewing your compliance status, preparing the necessary documentation, and engaging with the Registrar of Companies to ensure timely regularisation.
