Uganda Alert | Update on the Business Names Registration (Amendment) Rules, 2024

The Business Names Registration (Amendment) Rules, 2024, published under Section 19 of the Business Names Registration Act, Cap. 109, have introduced several significant changes to the compliance requirements for business name registration in Uganda. These amendments, which came into effect on 14th June 2024, aim to enhance the regulatory framework and ensure the accuracy and continuity of business name registration.

Key Changes Introduced

Statement of Business Continuity

Annual Filing Requirement: Every firm or individual with a registered business name must file an annual statement confirming that the business is still operational under the registered name. This statement, known as the “Statement of Business Continuity,” must be filed at the end of each calendar year using Form E, as specified in the Second Schedule of the Amendment Rules.

Non-Compliance Consequences: Failure to file this statement for three consecutive years will be deemed “reasonable cause” for removal from the register under Section 14(3) of the Business Names Registration Act. The Registrar may initiate the removal process for non-compliant businesses.

Updated Fees for Business Name Registration Services

  • Application for Reservation of a Business Name: UGX 35,000
  • Application to Register a Business Name: UGX 55,000
  • Notice of Change in Particulars: UGX 35,000
  • Notice of Cessation of Business or Removal of Business Name: UGX 35,000
  • Certified Copy of Certificate of Registration: UGX 35,000
  • Certified Copy of Business Names Form: UGX 35,000
  • Application for a Search of the Business Names Register: UGX 35,000
  • Filing or Requesting a Copy of Any Other Document under the Act: UGX 55,000
  • Any Other Application to the Registrar: UGX 55,000
